1. Acceptance of Terms

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and USTML (“we,” “us,” or “our”), concerning your access to and use of the ustmr.com website, as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”).

1.2 By accessing the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.

1.3 If you do not agree with all of these Terms of Use, you are expressly prohibited from using the Site and must discontinue use immediately.

2. Nature of Services

2.1 USTML is an independent trademark assistance service and is not affiliated with, endorsed by, or acting on behalf of the United States Patent and Trademark Office (USPTO) or any other government agency.

2.2 Use of the Site and our services does not establish an attorney-client relationship.

2.3 Trademark filings are subject to USPTO examination practices, policies, and procedures, which may change without notice.

2.4 Approval timelines, documentation requirements, and class selection standards are determined solely by the USPTO.

2.5 While USTML endeavors to provide accurate and up-to-date assistance, we make no guarantee regarding the approval, registration, renewal, or maintenance of any trademark application.

2.6 Any decision, action, refusal, suspension, or determination made by the USPTO is outside our control and responsibility.

3. Intellectual Property Rights

3.1 Unless otherwise indicated, the Site is our proprietary property.

3.2 All source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, and other content available through the Site (collectively, the “Content”), as well as all trademarks, service marks, and logos (the “Marks”), are owned or controlled by us or licensed to us.

3.3 The content and marks are protected by applicable copyright, trademark, and intellectual property laws.

3.4 You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal and non-commercial use.

3.5 We reserve all rights not expressly granted to you in and to the Site, Content, and Marks.

4. User Representations

4.1 By using the Site, you represent and warrant that:

4.1.2 You will maintain and promptly update such information as necessary.

4.1.3 You possess the legal capacity to enter into these Terms of Use.

4.1.4 You will comply with all applicable laws and regulations.

4.1.6 You will not access the Site through automated or non-human means, including bots, scripts, or similar technologies.

4.1.7 You will not use the Site for any unlawful or unauthorized purpose.

4.2 If any information provided by you is false, inaccurate, outdated, or incomplete, we reserve the right to suspend or terminate your access to the Site.

5. Prohibited Activities

5.1 You may not access or use the Site for any purpose other than that for which we make the Site available.

5.2 As a user of the site, you agree not to:

6. User-Generated Contributions

6.1 The Site may permit users to submit, upload, post, transmit, or otherwise provide content, materials, comments, suggestions, feedback, or other information (“Contributions”).

6.2 By submitting Contributions, you represent and warrant that you possess all rights necessary to provide such Contributions.

6.3 You grant USTML an unrestricted, irrevocable, perpetual, worldwide, royalty-free, transferable, and nonexclusive license to host, store, reproduce, publish, modify, distribute, display, and otherwise use such contributions for lawful business purposes.

7. Fees, Payments & Cancellations

7.1 All fees paid to USTML, including service fees and any government filing fees remitted on your behalf, are non-refundable unless otherwise expressly stated in writing.

7.2 Work may begin immediately upon receipt of payment.

7.3 Government filing fees paid to the USPTO or any governmental authority are non-refundable.

7.4 No refund shall be issued based on application refusal, cancellation, abandonment, office actions, delays, changes in filing strategy, or any USPTO decision.

7.5 Submission of payment constitutes acceptance of these fee and cancellation terms.

8. Termination

8.1 We reserve the right to suspend, restrict, or terminate your access to the Site at any time and for any reason.

8.2 Grounds for termination may include breach of these Terms, non-payment, suspected fraud, misuse of the Site, or any conduct deemed harmful to USTML.

8.3 Upon termination, your right to use the Site immediately ceases.

8.4 Provisions relating to intellectual property, disclaimers, indemnification, limitations of liability, and dispute resolution shall survive termination.

9. Modifications and Interruptions

9.1 We reserve the right to modify, update, suspend, discontinue, or remove any portion of the Site at any time without notice.

9.2 We are not liable for any interruption, delay, error, system failure, maintenance event, or temporary unavailability of the Site.

9.3 We make no guarantee that the Site will remain available continuously or without interruption.

10. Governing Law

10.1 These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

11. Disclaimer of Warranties

11.1 The site and services are provided on an “as-is” and “as-available” basis.

11.2 We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

11.3 We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components.

12. Limitation of Liability

12.1 To the fullest extent permitted by law, USTML and its officers, employees, contractors, affiliates, and agents shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages.

12.2 This limitation includes damages arising from loss of profits, revenue, data, business opportunities, goodwill, or business interruption.

12.3 Our total liability arising out of or relating to any service shall not exceed the amount paid by you to USTML for the specific service giving rise to the claim.

13. Indemnification

13.1 You agree to defend, indemnify, and hold harmless USTML and its officers, employees, affiliates, contractors, agents, and partners from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of:

13.1.1 Your use of the Site.

13.1.2 Your Contributions.

13.1.3 Your violation of these Terms.

13.1.4 Your violation of any third-party rights.
